These Terms of Use ("Terms") govern your access to and use of the website evolvsystems.tech and all services provided by Evolv Systems LLC ("Evolv Systems," "we," "us," or "our"), including the Echo AI demonstration system and any AI-powered SMS services we operate.

By accessing our website, submitting a form, or interacting with any Evolv Systems service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use our website or services.

You must be 18 years of age or older to use this website or our SMS service.

1. AI DISCLOSURE AND LIMITATIONS

Evolv Systems develops and deploys AI-powered SMS communication systems for businesses. By using our services or interacting with our AI systems, you acknowledge that:

- Our AI systems generate responses using artificial intelligence and large language models. While designed to be accurate and helpful, AI-generated responses may occasionally contain errors or inaccuracies.

- AI systems operated by Evolv are not substitutes for professional advice (legal, financial, medical, or otherwise). Information provided by our AI systems is for general informational and conversational purposes only.

- The performance, accuracy, and behavior of AI systems may vary. We continuously monitor and improve our systems but cannot guarantee specific outcomes.

- Evolv Systems AI androids deployed for client businesses may or may not identify themselves as AI during conversations, depending on the configuration chosen by the business deploying the system. Echo, our own demo bot, is clearly identified as an AI system on this website and in its SMS communications.

2. ACCEPTABLE USE

You agree not to:

- Use our website or services for any unlawful purpose or in violation of any applicable federal, state, or local law

- Interfere with or disrupt the operation of our website or services

- Attempt to gain unauthorized access to any portion of our systems

- Transmit viruses, malware, or other harmful code

- Harvest or collect information about other users without their consent

- Impersonate any person or entity, or misrepresent your affiliation with any person or entity

- Use our services to send unsolicited commercial communications

3. SMS COMMUNICATIONS AND MESSAGING PROGRAM

Program description: Evolv Systems LLC operates an A2P (Application-to-Person) SMS messaging program that powers conversational text interactions with prospects, clients, and end users who have opted in through our website. The program includes Echo, our AI-powered demonstration system, as well as follow-up and scheduling communications from the Evolv Systems team. All messages are transmitted through 10DLC-registered channels in compliance with TCPA and CTIA guidelines.

Messaging use cases: By providing your phone number and affirmatively checking the consent box on any form at evolvsystems.tech — including the Echo demo form, the booking calendar, and the contact form — you provide prior express written consent to receive SMS messages from Evolv Systems LLC. These messages fall into the following use cases:

- AI demonstration messages: Conversational SMS generated by Echo, our AI demo bot, to answer your questions about Evolv Systems services

- Inquiry follow-ups: Text messages from Echo or an Evolv Systems team member responding to your service inquiry, qualifying your needs, and providing requested information

- Scheduling communications: Appointment confirmations, reminders, and rescheduling messages related to consultations you request

- Informational messages: Updates about Evolv Systems services you have expressed interest in

- Promotional messages: Occasional outreach about Evolv Systems' offers, demo invitations, and re-engagement messages consistent with the consent you provided at signup

You may revoke consent at any time by replying STOP to any message.

Age requirement: You must be 18 years of age or older to use this SMS service.

Message frequency: Message frequency varies based on your interaction. A single Echo demo session may involve multiple messages. Appointment messages are typically limited to confirmations and reminders.

Message and data rates: Message and data rates may apply. Evolv Systems is not responsible for charges from your wireless carrier. Contact your carrier for details about your messaging plan.

Carrier liability: Neither Evolv Systems nor its wireless carrier partners are liable for delayed or undelivered SMS messages.

Consent is not a condition of purchase: Providing SMS consent is not required to purchase any service from Evolv Systems. You may contact us through email or phone at any time without opting in to SMS.

Opt-out (STOP): You may revoke consent at any time by replying STOP (or UNSUBSCRIBE, CANCEL, END, or QUIT) to any SMS message from Evolv Systems. STOP requests are processed immediately and automatically. You may also email or call us using the contact information in Section 11 to opt out through non-SMS channels, which are processed within ten (10) business days.

Help (HELP): Reply HELP to any SMS message from Evolv Systems to receive assistance and our contact information.

Sending hours: Automated SMS messages are sent only between 8:00 AM and 9:00 PM in the recipient's local time zone, in accordance with TCPA requirements. Replies within an active conversation may be responded to outside these hours.

No third-party sharing: No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors in support services, such as customer service and SMS infrastructure (e.g., GoHighLevel, Zapier), is permitted solely to deliver our services.

4. INTELLECTUAL PROPERTY

All content on evolvsystems.tech — including text, graphics, logos, images, software, and AI-generated outputs produced by our systems — is the property of Evolv Systems LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works without our prior written consent.

5. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Evolv Systems LLC, its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to:

- Your use of or inability to use our website or services

- Any errors, inaccuracies, or omissions in AI-generated content

- Unauthorized access to or alteration of your data

- Any third-party conduct or content

- SMS message delivery failures caused by carrier networks, device settings, or other factors outside our control

Our total liability for any claim arising from or related to our services shall not exceed the amount you have paid to Evolv Systems in the three (3) months preceding the claim, or one hundred dollars ($100), whichever is greater.

This website and all services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

6. INDEMNIFICATION

You agree to indemnify and hold harmless Evolv Systems LLC and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from your use of our website or services, your violation of these Terms, or your violation of any rights of a third party.

7. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved in the state or federal courts located in Eau Claire County, Wisconsin, and you consent to the personal jurisdiction of such courts.

8. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

9. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Evolv Systems LLC regarding your use of our website and services and supersede any prior agreements.

10. CHANGES TO THESE TERMS

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
